This Coaching Agreement (“Agreement”) is entered into as of Date of purchase by and between You (“Client”) and Life with Lilias, LLC (“Coach”). The Client and the Coach are individually referred to as “Party” and may be collectively referred to as the “Parties.”

WHEREAS, Coach offers Coaching (“Coaching Services”) provided by Coach to the Client;

WHEREAS, the Client seeks to receive the Coach’s services and gain consultation and coaching by Coach;

NOW, THEREFORE, by signing up with Coach, and in consideration of the foregoing, of the mutual covenants contained in this Agreement, and of other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the Parties hereto, intending to be legally bound, hereby agree as follows:

Description:  1:1 or Corporate Coaching Session. This is a cooperative relationship between the Client and Company with the goal of helping you achieve informative, realistic and sustainable health and wellness goals within the Company’s scope of practice.

Responsibilities:

1. The Coach agrees on maintaining the standards and scope of practice set forth by NASM (National Academy of Sports Medicine).

2. Client is responsible for establishing his/her own emotional, mental, and physical wellbeing. Client is also responsible for his/her choices, decisions, behaviors, and actions and the consequences of all of these. The client agrees not to hold Coach accountable or responsible for any action or inaction as well as any direct or indirect results of any services provided by the coach. The Client understands the nutrition coaching neither diagnoses or treats any mental disorder or medical problem nor does it prevent it. The client is responsible for maintaining annual healthcare check-ups, lab work and screenings as per their medical doctor. The client must communicate any existing or changes in health status to the Coach.

3. Client knows that coaching is not an alternative for any professional advice by legal, medical, mental, or any other qualified professionals and he will seek professional help for respective matters from independent professionals.

4. Client understands the importance of honesty and agrees to communicate openly, honestly, share genuine feedback, and will offer his/her full energy to participate in the coaching program.

Services: Both parties agree to engage in weekly 30 minute coaching sessions which will include

• Custom calorie/macro calculation based on Client assessment and goals
• Recommended tools and resources for ongoing success
• Guidance on creating the client's Feel Your Best Formula

Schedule & Fees: This coaching agreement is valid as of the Date of Purchase and for time stated on coaching package {corporate wellness or 1:1 coaching} for 1:1 3 month coaching contract 90 days thereafter.

Confidentiality: This coaching relationship, as well as all information (documented or verbal) that the Client shares with the Coach as part of this relationship, is bound to confidentiality The Coach agrees not to disclose any information pertaining to the Client without the Client’s written consent. The Coach will not disclose the Client’s name as a reference without the Client’s consent. Confidential information does not include information that: (a) was in the Coach’s possession prior to its being furnished by the Client; (b) is generally known to the public or in the Client’s industry; (c) is obtained by the Coach from a third party, without breach of any obligation to the Client; (d) is independently developed by the Coach without use of or reference to the Client’s confidential information; or (e) that the Coach is required by law to disclose. For more detailed information regarding confidentiality, please refer to the Confidentiality Agreement document.

Limited Liability: Except as expressly provided in this agreement, the Coach makes no guarantees or warranties, express or implied. In no event will the Coach be liable to the Client for consequential or special damages. Notwithstanding any damages that the Client may incur, the Coach’s entire liability under this agreement, and the Client’s exclusive remedy, will be limited to the amount paid by the Client to the Coach under this agreement for all services rendered up until the termination date.

Refund Policy: Due to the nature of the coaching session, no refunds will be given. Re-scheduling of an in person session must be completed upon an agreed upon date/time within 30 days of original session date.

Termination Policy:

The client may terminate this Agreement at any time with seventy-two hours written notice via email to lil@liliaslewis.com. If the Client terminates the Agreement, the client remains financially responsible for the full cost of the Program and must immediately make any payments that are due. No refunds will be provided. All the terms of this Agreement will still apply even after termination.
